Terms of Service

These Terms of Service (“Terms”) describe our commitments to you, and your rights and responsibilities when using our services. Please read them carefully and reach out if you have any questions.
1. Agreement
Matrix Mills, LLC operates wisepenny.app, a personal finance data platform (“Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. We may update or improve the Services from time to time, and such changes will be covered by these same Terms.
2. Definitions
- “You” means any individual or entity using the Services. If you are using the Services on behalf of a household, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
- “We,” “us,” “our” means Matrix Mills, LLC.
- “Circle” means a group of users who have chosen to share financial account data with each other through the Services (implemented as an organization in our system).
- “AI Agent” means any third-party AI application (such as Claude Desktop or other MCP-compatible clients) that accesses your financial data through our API with your authorization.
- “Plaid” means Plaid Inc., the third-party service we use to connect your financial accounts.
3. Authorized Users
The Services are designed for personal use but may be used by businesses, organizations, or other entities. If you use the Services on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf. The entity is responsible for all activity under accounts associated with it. We provide the Services on the same terms regardless of whether you connect personal or business financial accounts — the disclaimers, limitations, and obligations in these Terms apply equally.
4. Minimum Age
The Services are restricted to users aged 13 and older. If you are under 18, you must have a parent or legal guardian’s consent to use the Services. If you are under 13, you may not register for or use the Services.
5. Your Account
You must provide accurate information during registration and are solely responsible for all activity under your account. You authenticate via Google OAuth and must keep your Google account secure. Notify us immediately at help@wisepenny.app if you suspect unauthorized access to your Wise Penny account.
6. Electronic Communications
By creating an account, you consent to receive communications from us electronically (email, in-app notices, or notifications posted to the Services). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
7. Financial Account Linking
7.1 Plaid
You may connect bank accounts, credit cards, and other financial accounts through Plaid. When you do:
- You interact directly with Plaid’s interface (Plaid Link) to authorize access. We never receive your bank login credentials.
- Plaid transmits account metadata and transaction history to us on your behalf.
- Your use of Plaid is also subject to Plaid’s End User Privacy Policy.
7.2 Data Accuracy
Financial data we receive from Plaid is provided “as is.” We do not guarantee that balances, transactions, or account details are complete, current, or error-free. Your financial institution is the authoritative source.
7.3 Disconnecting Accounts
You may disconnect a financial account at any time from your account settings. When you disconnect:
- We call Plaid to invalidate the connection and stop further data syncing.
- Historical transaction data is retained unless you request its deletion.
- Reconnecting the same institution requires going through the Plaid Link flow again from scratch.
8. Circles
8.1 Shared Data
Wise Penny allows you to form circles with trusted individuals (e.g., a spouse, partner, or family members). When you share accounts with a circle, all circle members — and any AI agents authorized by circle members — can view the shared financial data. Only share accounts with people you trust.
8.2 Your Responsibilities
- You are responsible for the accounts you choose to share with a circle.
- Sharing an account with a circle does not transfer ownership of the underlying financial account.
- You may stop sharing an account with a circle at any time.
8.3 Circle Roles
Circle owners can invite and remove members, and revoke agent access. Members can connect their own accounts and authorize agents. By joining a circle, you acknowledge that the circle owner has administrative control over circle membership and agent access.
9. AI Agent Access
9.1 Authorization
You may authorize third-party AI agents to access your circle’s financial data through our API. Each authorization is explicit — no agent has access by default.
9.2 Read-Only
AI agents are granted read-only access. They can query your financial data but cannot modify, delete, or transfer it.
9.3 Your Responsibility
When you authorize an AI agent, your financial data is transmitted to that agent’s host environment (e.g., Anthropic’s servers for Claude Desktop). That data is then subject to the agent provider’s own terms and privacy policy. We are not responsible for how third-party AI agents or their providers handle your data once it leaves our servers.
9.4 Revocation
Circle owners can revoke any agent’s access at any time from the Connected Agents page. When access is revoked, the agent can no longer query your circle’s data.
10. Not Financial Advice
Wise Penny is a financial data platform, not a financial advisor, broker, or bank.
- We do not provide investment, tax, legal, or financial advice.
- Financial data displayed through the Services is for informational purposes only.
- Any analysis, insights, or suggestions generated by AI agents using your data are produced by those third-party agents, not by Wise Penny, and do not constitute professional financial advice.
- Investment products and account balances shown through the Services are not FDIC-insured and carry no bank guarantee.
- Always consult qualified professionals before making financial decisions.
11. Fees, Payment, and Renewal
Paid Services. Some features may require a paid subscription. You authorize automatic billing at the agreed-upon rate until you cancel.
Taxes. You are responsible for any applicable taxes.
Automatic Renewal. Recurring subscriptions renew automatically unless canceled before the current period ends.
Cancellation. You may cancel from your account settings or by contacting help@wisepenny.app. Services remain available through the end of the current billing period.
Fee Changes. We may modify fees with at least 30 days’ advance notice. Continued use after the new pricing takes effect constitutes acceptance.
Refunds. All payments are final and no refunds apply to unused portions of a subscription period, except as required by applicable law.
12. User Content and Privacy
- Your Data. Your financial data and account information remain private and are not publicly shared.
- Internal Use. We use your data solely to provide and improve the Services, for customer support, and for compliance — as described in our Privacy Policy.
- No Model Training. We do not use your financial data or account information to train, fine-tune, or develop AI models.
- Data Retention. Data is retained only as necessary for service provision. You can request deletion by contacting help@wisepenny.app.
13. Fair and Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to any part of the Services, other users’ accounts, or connected systems.
- Use automated bots, scrapers, or bulk-processing tools against the Services without written permission.
- Interfere with or disrupt the Services or the servers and networks that host them.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Misrepresent your identity or your relationship to a circle.
- Use the Services to transmit malware or malicious code.
- Circumvent rate limits or other technical restrictions.
We may suspend or restrict accounts that engage in abusive usage patterns.
14. Intellectual Property
Our Services. Matrix Mills, LLC owns all intellectual property rights in the Services, including the software, design, trademarks, and documentation. You may not copy, modify, distribute, sell, or lease any part of the Services.
Your Data. You retain all rights to your financial data. You grant us a limited, non-exclusive license to use your data solely to provide the Services.
Feedback. If you provide feedback or suggestions about the Services, we may use them without obligation to you.
15. Modification to Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes adding or removing features, changing supported financial institutions, or updating API capabilities. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
16. Changes to These Terms
We may modify these Terms at any time. For material changes, we will notify you by email or through a prominent notice in the Services at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance. If you disagree with the changes, you must stop using the Services.
17. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time, with or without cause or notice, including for violations of these Terms. Upon termination:
- Your right to access the Services ceases immediately.
- We will disconnect your Plaid items (stopping data syncing).
- You may request deletion of your data per our Privacy Policy.
- Sections that by their nature should survive (liability, indemnification, arbitration) will survive termination.
18. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MATRIX MILLS, LLC AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FINANCIAL DATA WILL BE ACCURATE OR COMPLETE.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRIX MILLS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $50 OR (B) THE TOTAL FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
20. Indemnification
You agree to indemnify and hold harmless Matrix Mills, LLC, its officers, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third party’s rights, or (d) financial decisions you make based on data obtained through the Services.
21. Dispute Resolution and Binding Arbitration
Informal Resolution First. Before filing any formal dispute, you agree to contact us at help@wisepenny.app and attempt to resolve the matter informally for at least 30 days.
Binding Arbitration. Except for intellectual property disputes or claims eligible for small claims court, any dispute arising from these Terms or the Services will be settled by binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules. Arbitration will take place in San Francisco County, California.
Class Action Waiver. You and Matrix Mills, LLC agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Opt-Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to the address below.
22. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. For any disputes not subject to arbitration, the proper venue is the state and federal courts in San Francisco County, California.
23. Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Matrix Mills, LLC regarding the Services.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions remain in full effect.
- No Waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, pandemics, government actions, internet outages).
